Electronic acceptance
By registering on the UBIQCURE Platform and completing empanelment — including accepting this Agreement and verifying your OTP — you confirm that you have read, understood, and agree to be legally bound by this Partner Agreement and all Schedules applicable to your category. This constitutes legally valid electronic acceptance under the Information Technology Act, 2000. If you do not agree, do not proceed with registration.
This Agreement governs how individuals, professionals, and organisations may offer services on the UBIQCURE Platform operated by SIDVIR PRIVATE LIMITED. The general clauses below apply to every partner category, together with the Schedule(s) that match the role(s) you register for.

Partner portals
Each partner category has a dedicated portal with role-based access. After empanelment, UBIQCURE creates your account on the relevant portal and sends login credentials to your registered phone and email. Doctor Associates are created by the linked Partner Doctor from the Doctor Portal.

Clause 1 — Definitions

Clause 2 — Partner categories
UBIQCURE has eight Partner Categories (each with a Schedule). You may register under more than one category where applicable — for example, a doctor may register as both Partner Doctor and UBIQ-Saathi Doctor. Schedules apply independently to each role.

Clause 3 — Empanelment, verification, and onboarding
3.1 Application. Submitting the Partner registration form is an application for empanelment. Approval is not automatic — UBIQCURE may approve or reject at its sole discretion.
3.2 Verification. Examples of what is checked: RMP — degree, NMC/State registration (cross-verified), identity, photograph; nurses — GNM/B.Sc Nursing, INC/State registration; diagnostic centres — licences, NABL/NABH where applicable, GST; hospitals — establishment credentials and valid RMP listings; nodal agents — PAN, bank, identity, self-declaration; doctor associates — authorisation from the linked doctor.
3.3 UBIQID and access. When approved, you receive a UBIQID, portal access, and (where applicable) a ‘Verified Partner’ badge. You must keep profile information accurate. Doctor Associates have no public profile; access is configured by the linked Doctor.
3.4 Re-verification. UBIQCURE re-verifies credentials at least annually and when licences renew, complaints arise, or regulations change. You must cooperate promptly.
Clause 4 — Your obligations
You confirm legal capacity, accuracy of registration data, and maintenance of all required licences. RMPs must maintain valid NMC/State registration and comply with the NMC Code of Medical Ethics and, where applicable, Telemedicine Guidelines. Notify partners@ubiqcure.com within 48 hours of licence suspension, criminal/regulatory proceedings, or material ownership changes. Diagnostic centres must maintain NABL/NABH as claimed and notify within 24 hours of any suspension or withdrawal.
Service delivery. Deliver services with the same standard of care as your regular practice; do not treat Platform bookings less favourably; do not redirect patients or schools to transact outside the Platform (material breach). Keep availability and slots current; repeated unexplained cancellations may lead to suspension.
Data protection. You are a Data Processor — no independent commercial use of patient/student data; no storage or marketing use outside permitted delivery; report suspected breaches within 24 hours. Confidentiality survives termination for 5 years.
Prohibited conduct includes fraud, harassment, bribes, unauthorised sub-contracting, misuse of UBIQCURE IP, platform interference, and soliciting partners to competing platforms. See the full Agreement for the complete list.
Clause 5 — UBIQCURE’s obligations
- Platform access to your portal after empanelment, with commercially reasonable uptime (maintenance with notice).
- Verification before approval, ‘Verified Partner’ badge where applicable, annual re-verification, notice if credentials lapse.
- Bookings routed per your availability and location; notifications via portal, SMS, email, and push.
- Payouts as per Clause 6 when your account is in good standing.
- Support: partners@ubiqcure.com and +91-9151003350 (Mon–Sat, 9 AM–7 PM IST). Routine queries within 48 hours; urgent operational issues within 4 hours.
- Training and materials for onboarding and when the Platform changes materially.

Payment method. NEFT/RTGS to your registered bank account — keep details accurate.
Tax. TDS under the Income Tax Act; Form 16A quarterly. You are responsible for your own taxes and GST where applicable.
Disputes. Raise payout disputes in writing within 15 days of the payout date; UBIQCURE responds within 15 working days.
Recovery. Erroneous overpayments may be recovered from future payouts or by notice (repay within 15 days).
Withholding. Payouts may be withheld if your account is under investigation, a licence lapsed, a related complaint is open, or you have outstanding liabilities — with notification and release when resolved, as described in the full Agreement.
Clause 7 — Intellectual property
UBIQCURE/SIDVIR owns Platform IP. You receive a limited, non-exclusive licence to use your portal to deliver registered services. You grant a non-exclusive licence to display your profile for promotion until empanelment ends. Patient and student health data belongs to the data principals; you may not use it for unauthorised research or marketing. Feedback you provide may be used by UBIQCURE without restriction.
Clause 8 — When this agreement ends
The Agreement starts on empanelment approval. You may terminate with 30 days’ written notice, honouring confirmed bookings and camps. UBIQCURE may terminate with 30 days’ notice or immediately for serious breach (e.g. lapsed credentials, fraud, harm, material breach including off-Platform diversion, data violations).
Suspension: UBIQCURE may suspend access during investigation — reason within 48 hours; suspension not beyond 60 days without reinstatement or termination; payouts for pre-suspension work follow Clause 6 unless withholding applies.
On termination: portal revoked, profile removed from search, outstanding eligible payouts within 30 days, stop using UBIQCURE brand/IP, return or destroy confidential information (subject to law). Obligations under Clauses 4 (data) and 7 survive as stated in the PDF.
Clause 9 — Liability
You indemnify UBIQCURE for claims arising from your services, breaches, unlawful acts, and clinical decisions. UBIQCURE is a technology platform, not your employer or healthcare provider. Its liability is capped at total payouts in the three months before the claim (subject to the full Agreement) and excludes indirect/consequential damages. Clinical responsibility rests solely with the treating RMP.
Clause 10 — Dispute resolution
Good-faith negotiation for 30 days, then binding arbitration under the Arbitration and Conciliation Act, 1996 — sole arbitrator (or appointed per the Agreement), seat Lucknow, Uttar Pradesh, English language. Governing law: India. Courts at Lucknow have exclusive jurisdiction, subject to arbitration. Either party may seek urgent injunctive relief for data, confidentiality, or IP.
Clause 11 — General terms
- Independent contractor — not employment, agency, partnership, or franchise; your own statutory contributions and insurance.
- Entire agreement with Schedules; supersedes prior discussions.
- Updates with 30 days’ notice via email or portal; continued use constitutes acceptance, or you may exit under Clause 8.2.
- Severability, no waiver, assignment as set out in the PDF.

- Anti-bribery — compliance with applicable law including the Prevention of Corruption Act, 1988.
- Language: English prevails over translations.
Schedule A — UBIQ-Saathi Doctor (eHRC camp physician)
You lead the medical team on camp day: clinical quality of screenings, review of nurse-entered data, digital sign and lock of each student record — your signature is the clinical authorisation for the eHRC report.
Eligibility (summary): MBBS+ from an NMC-recognised institution; valid NMC/State registration; opt-in to eHRC in portal; minimum 2 camp days per month in your zone; smartphone/tablet for e-sign.
Camp day (highlights): geo-attendance before screening; oversee nurses; review every form; verify out-of-range values; clinical remark (minimum length per Platform); referral recommendation (No action / Monitor / Specialist / Urgent — with justification where required); sign with PIN — rubber-stamping is a material breach. Corrections after lock: formal amendment request only; originals are annotated, not deleted.
Payout: Per student signed, at the rate in your empanelment offer; within 7 working days of camp data lock by the Medical Officer; TDS as applicable.
Schedule B — UBIQ-Saathi Nurse / Paramedic
You are the primary data collector on camp day: examination and prescribed-parameter entry in the app, then submission for doctor review.
Eligibility (summary): GNM or B.Sc Nursing (or final-year with institutional approval); valid INC/State registration; ability to use the app; travel within assigned zone.
Camp day (highlights): geo-attendance; equipment checklist; structured digital inputs (no free-text except where allowed); handle ‘Not Assessed’ appropriately; avoid excessive unreviewed backlog; maintain student dignity and privacy.
Payout: Fixed per camp day per your offer; within 7 working days of data lock; certificate of service may be issued for your portfolio.
Schedule C — Partner Doctor (in-clinic)
Patients book and pay through the Platform; you honour appointments; real-time queue reduces waiting-room crowding. You may authorise Doctor Associates for operational tasks only — you remain responsible for their actions (see Schedule H).
Obligations (highlights): Accurate schedule, buffers, and slot configuration; honour bookings; use ‘Running Late’ as needed; prescriptions through UBIQCURE’s compliant prescription module; no directing Platform patients to pay outside the Platform.
Payout: Monthly for completed consultations; rate per your empanelment offer.
Schedule D — Partner Doctor (virtual clinic / telemedicine)
You must comply with the NMC Telemedicine Practice Guidelines, 2020 in full. Excerpts of platform-aligned rules:

Payout: Monthly for completed virtual consults; rate per your offer.
Schedule E — Diagnostic centre / laboratory
List tests and accept walk-in or home bookings; upload structured biomarker values with units and a PDF report — PDF alone is not sufficient. Maintain licences and NABL/NABH as claimed; accurate catalogue including TAT and preparation; critical values — contact patient within 1 hour of upload; home collection with GPS-verified collection and cold chain as applicable.
Payout: Monthly when results are uploaded and delivered; rate per your empanelment agreement.
Schedule F — Hospital / clinic (OPD & queue)
List doctors’ OPD slots; patients book and pay on the Platform; queue notifications reduce crowding. Designate staff to manage the live dashboard during OPD; ensure listed doctors hold valid registrations; honour bookings; cancellations with notice except true emergencies.
Payout: Monthly for completed appointments; rate per your agreement.
Schedule G — Nodal agent / BDE
You refer schools to eHRC — no authority to sign for UBIQCURE, set price, or collect money from schools. Complete KYC before payouts. Use only approved collateral; submit leads through your portal or referral link; describe yourself accurately (e.g. ‘Nodal Partner’) — not as an employee with contracting power. Do not approach schools already in UBIQCURE’s pipeline without consent. Milestone payouts (amounts in your offer): Agreement signed + referral attribution; advance received; camp done + final payment; year-2 renewal; quarterly star performer threshold.
Attribution: Referral link or Operations-tagged UBIQID; conflicts resolved per Policy (link used, else first portal submission). UBIQCURE’s decision is final.
Non-compete (eHRC schools): During the term and for 12 months after, do not represent competing school health screening services to referred schools in that category (other business activities unrestricted).
Schedule H — Doctor associate
Created by the Partner Doctor with defined scope. May: calendar/slots, queue dashboard, arrivals, running-late, basic clinic profile, booking reports, administrative messaging. May not: consult, prescribe, sign health records, change bank or NMC details, or access clinical data beyond queue needs.
The Partner Doctor is liable for the Associate’s acts; revoke access promptly when authorisation ends. UBIQCURE may revoke Associate access for breach, security risk, or if the Doctor’s empanelment ends.
